Membership Referral Program

Terms and Conditions for Central X Limited (“Central X”) Membership Referral Programme Under the Central X Membership Referral Programme (“Programme”), both the Referring User and the Referee User agree to be bound by the terms and conditions of the programme as set out herein:

1. This Programme is open to all registered members of the Central X website who refer other persons to register (“Referring User”) and successfully become a member of Central X (“Referee User”).

2. Each member who has completed the registration process on the Central X website will receive a Membership Referral Code.

3. For a Referring User to receive reward for referring a Referee User to Central X, the Referee User must have successfully registered as a user of Central X website (“Central X User”) and must have entered the Membership Referral Code of the Referring User during the membership registration process.

4. The Referee User cannot be an existing Central X User before the Date of Referral, or have been a Central X User in the 3 months prior to the referral.

5. Referring Users will be rewarded in each investment on the Central X website that involves Referee Users. In each investment, the involved parties are referred Investors or Shareholders (“Buyer/Seller”) and their referrers (“1st Degree Referring Users”). Alongside, if the 1st Degree Referring Users had been referred to Central X and entered a Membership Referral Code during the membership registration process, those referrers (“2nd Degree Referring Users”) will also be rewarded for each investment made by the Buyer/Seller on the Central X website.

6. The 1st Degree Referring User is entitled to receive initial reward at a rate of 30% of Central X’s fees charged in respect of each investment made by the Buyer/Seller.

7. Separately, each 2nd Degree Referring User is entitled to receive a reward at the rate of 3% of Central X’s fees charged in respect of each investment made by the Buyer/Seller who has been referred by the 1st Degree Referring User.

8. The Referring User will not be rewarded for any referrals made beyond 2nd Degree Referee Users.

9. The Referring User will be rewarded as set out above only if the transaction fees charged by Central X have been duly received (the “Date of Receipt”). The Referring User shall ensure that his/her registration as a member of Central X website and his/her receipt of the reward under this Programme will not be in breach of any pre-existing agreement or any applicable laws, regulations or professional codes of conduct to which he/she is subject, and Central X shall not be liable to the Referring User for any loss, liability or damage whatsoever caused by his/her participation in this Program.

10. In each eligible case, the reward will be paid to the Referring User not later than the end of the next calendar month from the Date of Receipt.

11. Referring Users can make multiple referrals and claim rewards each time provided each referral has satisfied the terms and conditions stated hereinabove.

12. The Membership Referral Code is non-transferable, not for resale, has no cash value, and may not be combined with any other offers.

13. Any dispute, controversy or matter in connection with this Program (the “Dispute”), including but not limited to the entitlement of reward, shall be raised to Central X, who shall have the full and final authority to make determination on the Dispute, and such determination shall be final and binding on all parties involved, including the Referring User, the Referee User and the Buyer/Seller.

14. Central X reserves the right to withdraw, at its sole and absolute discretion, any Membership Referral Code given to any Referring User without reasons.

15. Central X reserves the right to amend, withdraw or extend any or all elements of this Programme at any time with seven (7) days prior notice. These meanings apply to the terms and conditions of the programme, unless otherwise stated:

Referee User – A Central X Member that has been referred by a Referring User by entering his or her Membership Referral Code during the registration process

Referring User – A Central X Member who has been issued a Membership Referral Code that was subsequently used by a Referee User during his or her registration process

Date of Referral – The date of submission of the Referee User’s online application form with the Membership Referral Code of the Referring User

Buyer/Seller– Investor or Shareholder in a completed investment

1st degree Referring User – Member who referred a Buyer/Seller

2nd Degree Referring User– Member who referred a 1st Degree Referring Member Date of Receipt

Date of Receipt – The date on which all transaction fees charged by Central X have been duly received
